Terms of Use

EFFECTIVE · MAY 16, 2026

These Terms of Use (the "Terms") govern your use of the MindFlow mobile application (the "App") and the marketing website at themindflow.app (the "Site"), both operated by Icemint LLC ("Icemint," "we," "us," or "our"), a Wyoming corporation. By installing the App or accessing the Site, you agree to these Terms.

1. The App

MindFlow is a daily mood journal and habit tracker for Android. The App is provided free of charge, with no in-app purchases, no subscription tiers, and no advertising. All features are available to all users without restriction.

2. Not a medical device

The App is not a medical device, diagnostic tool, or therapeutic intervention. It does not diagnose, treat, cure, or prevent any medical or psychological condition. The mood tracking, habit tracking, and journaling features are intended as personal reflection tools only. Always consult a qualified healthcare professional for medical or mental health advice. Do not use the App as a substitute for professional care.

3. License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Android devices you own or control, for personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the App or its source code, nor may you reverse-engineer or attempt to extract the source code, except where applicable law expressly permits.

4. Your data

All data you enter into the App is stored locally on your device. We have no access to it and no ability to recover it. You are solely responsible for maintaining backups of your data using the App's export function. Uninstalling the App or clearing its data permanently deletes all associated data. See our Privacy Policy for full details on data handling.

5. Intellectual property

The App, the Site, and all associated content, design, code, graphics, icons, and trademarks are the property of Icemint LLC or its licensors and are protected by intellectual property laws. The data you create within the App belongs to you. We claim no ownership of your mood entries, habit data, or journal notes.

6. Acceptable use

You agree not to use the App or the Site in any way that violates applicable law, infringes on the rights of others, or interferes with the operation of either. Because the App has no network access and no user accounts, most conventional abuse scenarios do not apply.

7. Disclaimer of warranties

The App and the Site are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be error-free, uninterrupted, or free of harmful components, or that defects will be corrected. You use the App at your own risk.

8. Limitation of liability

To the maximum extent permitted by applicable law, Icemint LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising out of or related to your use of the App or the Site, regardless of the theory of liability. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim, which is zero since the App is free.

9. Dispute resolution

9.1 Application

This Section governs any dispute, claim, or controversy arising under or relating to these Terms, the App, the Site, or any related communications or interactions between you and Icemint (each, a "Dispute"). This Section applies regardless of whether the Dispute sounds in contract, tort, statute, or any other legal theory.

9.2 Pre-dispute notice requirements

Before initiating any formal dispute resolution process, you must send us a detailed written notice of the Dispute by email to [email protected] with delivery confirmation, or by certified mail to our registered address. The notice must include all of the following:

A notice that omits any of the foregoing is procedurally deficient. The dispute resolution timelines under this Section shall not commence until a compliant notice is received. The fee-arrangement and prior-claims disclosures are intended to enable good-faith assessment of the Dispute and to enable any arbitrator to screen for fraud, abuse, or improper purpose.

9.3 Informal resolution period

Within 60 days of our receipt of a compliant notice, the parties shall engage in informal resolution discussions. Such discussions shall include not fewer than two meetings, each attended by a principal of each party. Meetings may be conducted by video conference. You may be accompanied by counsel or an authorized representative. Failure to participate in good faith in the required meetings is a material procedural defect, and no arbitration may be commenced unless and until the requirement is satisfied or expressly waived in writing by us.

9.4 Binding arbitration

Any Dispute that is not resolved through the process described in Sections 9.2 and 9.3 shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its then-current Consumer Arbitration Rules. Filings with any other arbitration provider shall be deemed procedurally deficient. The arbitration shall be conducted by a single arbitrator. Venue for any in-person component shall be in Sheridan County, Wyoming, or by video conference at the election of either party.

9.5 Class-action waiver

Each party may bring claims against the other only in such party's individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding. If any portion of this class-action waiver is found to be unenforceable as to a particular Dispute, that Dispute shall proceed in a court of competent jurisdiction, and the arbitration agreement shall be null and void as to that Dispute only.

9.6 Costs and fees

Each party shall bear its own attorneys' fees and costs except as otherwise provided in these Terms or required by applicable law. The allocation of arbitration fees shall comply with the consumer-protection floors imposed by the AAA's consumer rules.

9.7 Carve-outs

Either party may bring an action in a court of competent jurisdiction in Wyoming for injunctive or equitable relief to prevent or stop infringement or unauthorized use of intellectual property, or for any claim that as a matter of law may not be subject to pre-dispute arbitration.

10. Governing law and venue

These Terms and any Dispute shall be governed by the substantive laws of the State of Wyoming, without regard to conflict-of-laws principles. Any Dispute that is not subject to arbitration shall be brought exclusively in the state or federal courts located in or nearest to Sheridan, Wyoming. Each party consents to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum or lack of personal jurisdiction.

11. Termination

You may stop using the App at any time by uninstalling it. We may withdraw the App from distribution at any time for any reason, including legal, regulatory, or operational reasons. These Terms survive uninstallation and withdrawal with respect to any Disputes that arose during the period of use.

12. Severability

If any provision of these Terms is held unenforceable, the unenforceable provision shall be severed and the remaining provisions shall remain in full force and effect, provided that the class-action waiver in Section 9.5 is non-severable from the arbitration agreement. Where any provision is held unenforceable in part, it shall be enforced to the maximum extent permitted by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
